Sharad's professional experience spans more than two decades in the areas of Banking & Finance, Mergers & Acquisitions, General Corporate and Commercial transactions, Capital Market and Corporate Litigation.
Before promoting the law firm 'Fair & Just Legal Solutions LLP', Sharad was associated with Vaish Associates as a Principal Associate and Seth Dua & Associates as an Associate Partner. Sharad has also worked with S.N. Gupta & Co. (now SNG & Partners) and other reputed law firms in India.
He is a visiting faculty to the 'Institute of Company Secretaries of India' and has delivered lectures at MSOP (SMTP) and various conferences / seminars organized by ICSI and other institutions from time to time. He is also a member of various committees of the International Bar Association and PHD Chamber of Commerce (PHD) including Banking Committee of PHD. Sharad has written various articles, which are published in the journal 'Chartered Secretaries' and on the websites of 'Business Standard' and 'Mondaq'.
Throughout his career, he has provided legal advice to a diverse range of clients, including multinational corporations, financial institutions and high-net-worth individuals.
In the Banking & Finance sector, Sharad has advised on complex financing transactions, including syndicated loans, project financing and debt restructuring. His expertise in M&A transactions includes structuring, negotiating, and executing deals, handling due diligence and managing cross-border transactions.
Sharad's work in General Corporate and Commercial Transactions has involved drafting and negotiating contracts, joint ventures and strategic alliances, with a strong focus on risk mitigation and regulatory compliance. He has also provided counsel for Capital Market transactions, such as IPOs, private placements and securities law compliance.
Sharad has also handled complex real estate transactions, including land acquisitions, joint ventures and property development projects. He has advised clients on structuring deals, conducting due diligence, and navigating regulatory approvals, ensuring smooth project execution. His experience also covers real estate financing, where he has assisted in structuring financing agreements, including loans, mortgage-backed securities and private equity investments.
Sharad has worked on several international / domestic commercial transactions and has advised various clients / companies in relation to their relevant transaction(s) including review of the transaction documents / definitive agreements. Sharad has also appeared before various forums to represent the firms' clients including Hon'ble Supreme Court of India, Hon'ble Delhi High Court, Hon'ble Board for Industrial and Financial Reconstruction (BIFR), Hon'ble National Company Law Tribunal (NCLT), Hon'ble National Company Law Appellate Tribunal as well as various District Courts.
Sharad is a seasoned litigation advocate and has appeared before various forums to represent the clients including before the Hon'ble Supreme Court of India, Hon'ble Delhi High Court, Hon'ble Board for Industrial and Financial Reconstruction (BIFR), Hon'ble National Company Law Tribunal (NCLT), Hon'ble National Company Law Appellate Tribunal, Real Estate Tribunals, Debt Recovery Tribunal as well as various District Courts. He has dealt with a diverse range of litigation matters, including mergers and acquisitions, arbitration matters, corporate insolvency proceedings being initiating corporate insolvency against corporate debtor under Section 7, 9 and 10 of the Insolvency & Bankruptcy Code, 2016, withdrawal of insolvency proceedings, rejection of claim by the resolution professional, rights and entitlements of a creditor especially dissenting financial creditor, issues of liability of guarantor, home buyers issues etc. He also represents liquidators, resolution professionals and interim resolution professionals in judicial proceedings on a regular basis. He has extensive experience in trademark litigation and regularly undertakes trademark registration.
